Agreement to these terms

These Terms of Service ("Terms") govern your access to and use of EduTransit's website and application (the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you use the Services on behalf of a school district or other organization, you represent that you are authorized to bind that organization to these Terms.

District agreements control

Where EduTransit and a school district or other customer have entered into a separate written agreement for the Services — such as a master services agreement or data privacy agreement — that agreement governs the provision of the Services and controls over these Terms to the extent of any conflict.

Eligibility and accounts

You must be at least 18 years old and able to form a binding contract to create an account. You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Notify us promptly at info@EduTransit.com if you suspect any unauthorized use.

Acceptable use

You agree not to:

• use the Services in any unlawful manner or in violation of these Terms;
• access or attempt to access the Services, or any data within them, by any means you are not authorized to use;
• interfere with, disrupt, or place an unreasonable load on the Services or their infrastructure;
• upload or transmit content that is unlawful, infringing, harmful, or that violates the privacy or rights of others; or
• copy, modify, reverse engineer, or create derivative works of the Services except as permitted by law.

Customer data and privacy

Your use of the Services is also governed by our Privacy Policy. As between the parties, the district or customer retains ownership of the data it submits to the Services. We process that data to provide the Services and as described in the Privacy Policy and any applicable agreement.

Intellectual property

The Services, including all software, text, graphics, and design, are owned by EduTransit or its licensors and are protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Services. All rights not expressly granted are reserved.

Third-party services

The Services may link to or integrate with third-party services that we do not control. We are not responsible for those services, and your use of them is governed by their own terms and policies.

Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, or error-free.

Limitation of liability

To the maximum extent permitted by law, EduTransit will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or revenue, arising out of or relating to your use of the Services. Nothing in these Terms limits liability that cannot be limited under applicable law.

Termination

We may suspend or terminate your access to the Services if you violate these Terms or as necessary to protect the Services or other users. You may stop using the Services at any time. Provisions that by their nature should survive termination — including ownership, disclaimers, and limitations of liability — will survive.

Changes

We may modify the Services or these Terms from time to time. If we make material changes to these Terms, we will post the updated version with a new "Last updated" date. Your continued use of the Services after the changes take effect constitutes acceptance of the revised Terms.

Governing law

These Terms are governed by the laws of the State of Texas and applicable U.S. federal law, without regard to conflict-of-laws rules. You agree to the exclusive jurisdiction of the state and federal courts located in Texas, except where a separate written customer agreement provides otherwise.
